Terms of Service

1. Who we are

Forge Workflows is a product of Forge Labs, Inc., a Delaware corporation (“Forge,” “we,” “us”). By using this site, joining the waitlist, or reserving a Waymaker seat, you agree to these Terms.

2. What Forge Workflows is

Forge Workflows is a marketplace where licensed professionals publish per-run workflows and earn a permanent 60% author royalty on every run. Every workflow specification, payout rule, and royalty entry is public on GitHub. The 60% author floor is fixed in the constitution (Article IV) and cannot be lowered.

3. Waymaker reservations

A $10 Waymaker reservation on Wefunder is a non-binding indication of interest. It reserves your slot in the founding cohort but does not create a security, a contract for equity, or an obligation to invest. When the Regulation Crowdfunding (Reg CF) round officially opens on Wefunder, you will receive a link to review the full offering documents and complete or cancel your investment at that time. Reservations are refundable at any point before the round closes.

4. Founding Guild equity estimates

Equity percentages displayed on this site (0.001% at $100, 0.0025% at $250, 0.01% at $1,000, 0.1% at $10,000) are illustrative only, based on a $10M post-money valuation cap. The final valuation cap and equity per tier are priced when the Wefunder round formally launches and are disclosed in the Form C filed with the SEC. Nothing on this site is an offer to sell securities.

6. What you agree to when publishing workflows

If and when Forge Workflows opens for authorship, publishing a workflow means: (a) you hold the license or expertise you claim; (b) you own or have the right to publish the workflow content; (c) you accept the per-run royalty terms as posted in the workflow’s public spec; (d) you agree that all payout events are public.

7. Prohibited uses

Do not use the site to: scrape, spam, or automate signups; misrepresent your license or expertise; publish medical, legal, or financial advice without proper credentials; or attempt to bypass safety guardrails on workflow outputs.

8. Intellectual property

The Forge Workflows name, wordmark, and site content are owned by Forge Labs. Workflow specifications published to the public GitHub registry are open-source under the license posted in that repository. You retain ownership of any workflows you author; Forge Labs receives only the license to run and meter them under the posted royalty terms.

9. No warranty

The site and any pre-launch materials are provided “as is,” without warranties of any kind, express or implied. We make no promise that the Wefunder round will succeed, that the marketplace will launch on any specific date, or that any workflow will generate revenue.

10. Limitation of liability

To the maximum extent permitted by law, Forge Labs and its officers, employees, and agents are not liable for any indirect, incidental, or consequential damages arising from your use of the site or reliance on any information here.

11. Arbitration and governing law

These Terms are governed by the laws of the State of Delaware. Any dispute arising out of these Terms will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, in Wilmington, Delaware. You waive the right to a jury trial and to participate in a class action.

12. Changes

We may update these Terms. Material changes will be posted on this page with a new “last updated” date. Continued use of the site after changes means you accept them.
